Axelrod Research — NVDA: A $12.9bn Rumor Is Still Not a Buy Thesis
The archived NVDA catalyst still fails the most basic underwriting test: there is no captured primary confirmation that NVIDIA agreed to buy Hugging Face for $12.9bn. At a verified $219.34 close on September 17, 2026, the decision is AVOID if the reason to buy is this deal rumor; wait for a filing and disclosed economics.
NVDA — AVOID
Why now
This is a quiet-day re-underwrite of the August 28, 2026 thesis. What has changed is the price reference: NVDA closed at $219.34 on September 17, 2026. What has not changed is the evidence: the archived report of a $12.9bn Hugging Face acquisition, alongside claimed annualized Hugging Face revenue above $150m and growth of 50% over two months, remained unsupported by a captured NVIDIA or Hugging Face announcement as of the August 28, 2026 analysis. The call therefore remains AVOID on this catalyst.12
The evidence
The proposed price implies roughly 86× annualized revenue using the reported $12.9bn consideration and >$150m annualized revenue, before assigning any value to growth or strategic fit; both inputs are unconfirmed claims as of August 28, 2026, so that multiple is illustrative rather than bankable. NVIDIA is an accelerated-computing, GPU, networking and AI-systems company whose data-center demand is central, but none of that makes an unverified transaction accretive.12
The market evidence is firmer: NVDA’s adjusted September 17, 2026 session opened at $218.375, traded between $217.145 and $219.905, and closed at $219.34, on 94.19m shares. Price has moved; proof of the alleged deal has not.3
Levels & triggers
Do not act on the acquisition story at $219.34 as of September 17, 2026. The trigger to reconsider is a primary NVIDIA or Hugging Face announcement—or an SEC filing—that states consideration, funding, closing conditions and expected financial impact. Confirmation would move the call to HOLD pending economics; a disclosed price materially below the reported $12.9bn, paired with credible revenue and margin disclosure, could support ACCUMULATE after a fresh valuation review.12
The thesis is killed outright if the companies deny the transaction, if no primary confirmation emerges, or if disclosed economics show material dilution without a credible earnings bridge. This call is valid over the next one to two quarters, or until primary transaction documents appear.
The bear case
The strongest reason this caution is wrong is strategic scarcity: Hugging Face could deepen NVIDIA’s software and developer moat, and the claimed 50% two-month annualized-revenue growth as of August 28, 2026 could make a headline 86× multiple less extreme than it looks. But without verified revenue quality, margins, retention, consideration and integration terms, scarcity is a story rather than an underwrite.12
What I’m watching: NVIDIA’s next earnings materials and any 8-K or company announcement that confirms—or finally disproves—the reported Hugging Face transaction.12
