Wyoming LLC Non Resident Owners: The Two Calendars to Keep
In this issue: Wyoming LLC non resident owners can form and run the company from abroad, but they keep two separate calendars. One belongs to Wyoming and starts on your formation date. The other belongs to the IRS and follows the tax year. Below: what each calendar asks of a Wyoming LLC non resident owner, the exact dates, and what you can skip.
The short answer: yes, a Wyoming LLC non resident setup works from outside the US. Wyoming wants $100 for the Articles, a registered agent with a physical Wyoming address, and an annual report every year. The IRS wants a free EIN application and, for a single foreign owner, a pro forma Form 1120 with Form 5472 attached every year.
If you'd rather hand off the filing, the agent and the yearly report, compare CORPBOLT's Wyoming LLC plans for non-US founders.

Can a non resident own a Wyoming LLC?
Yes. Per the Wyoming Secretary of State fee schedule (effective July 1, 2026), Articles of Organization cost $100. The form asks for the LLC name, a registered agent, a mailing address, a principal office address and an organizer's signature. The name has to end with "LLC", "L.L.C.", "Limited Liability Company" or another listed abbreviation.
The registered agent is the piece you can't cover from abroad. It must be a Wyoming resident or a business authorized in Wyoming, at a physical Wyoming address. A drop box doesn't count.
Calendar one: the Wyoming dates
The Wyoming clock starts the day you form. Per the Secretary of State's annual report FAQ, the report is due on the first day of your anniversary month. Formed on May 15? Your report is due May 1, every year.
Early filing: allowed up to 120 days ahead, with courtesy email reminders 60, 30 and 10 days before.
The license tax: $60 or two-tenths of one mill on the dollar ($.0002) of the company's assets located and employed in Wyoming, whichever is greater. Run the math and the tax only climbs above $60 once Wyoming assets pass $300,000. For a Wyoming LLC non resident owner selling online with nothing held in the state, plan on the $60 minimum.
Late: the company is delinquent on the second day of the month after the due date. Sixty days after the due date with no report, Wyoming administratively dissolves it.
Fixing it: reinstatement within two years means filing every missed report, paying every missed fee, plus a $100 reinstatement fee. Losing your registered agent is pricier: $350 to reinstate.
Calendar two: the IRS dates for a Wyoming LLC non resident
The IRS calendar starts with the EIN, then runs on the tax year.
The EIN. It's free. The IRS EIN page says it plainly: "You never have to pay a fee for an EIN." Form the LLC with Wyoming first. As a Wyoming LLC non resident, skip the online tool: it needs an SSN or ITIN and can't be used when the principal place of business is outside the US. Apply by phone, fax or mail with Form SS-4. International applicants can call 267-941-1099 (not toll-free), 6 a.m. to 11 p.m. Eastern, Monday to Friday. The caller must be authorized to receive the EIN. File only one SS-4. If the responsible party changes later, Form 8822-B is due within 60 days.
The yearly filing. A single-member LLC is a disregarded entity by default. With one foreign owner, the IRS Form 5472 instructions call it a foreign-owned U.S. DE. It has no income tax return requirement, but it must file a pro forma Form 1120 with Form 5472 attached. For a calendar-year company, that's April 15. Three details catch people out:
Write "Foreign-owned U.S. DE" across the top of the 1120.
It can't be e-filed. Fax it to 855-887-7737 or mail it to the IRS in Ogden, Utah. The extension, Form 7004, goes the same way.
"No income" doesn't mean "no filing." Reportable transactions include money you put into the company or take out of it.
Skipping it costs $25,000, plus another $25,000 if the failure continues more than 90 days after the IRS notifies you.
The W-8 question. When a US client or platform asks a Wyoming LLC non resident owner for a W-8, the W-8BEN-E instructions say the foreign single owner of a disregarded entity provides Form W-8BEN or Form W-8BEN-E, as appropriate. Ask your accountant which form fits you. None of this is tax or legal advice. How your income is taxed, here and at home, depends on your situation, so have a tax professional look at it.
What a Wyoming LLC non resident owner doesn't need
Your name on the Articles. The form asks for an organizer. It doesn't ask for member or manager names.
An ITIN for the EIN. On SS-4 line 7b, a responsible party who has no SSN or ITIN, and isn't eligible for one, enters "foreign" or N/A.
US residency, citizenship or a visit. Nothing in the Articles or the international EIN route above requires you to be in the US.
Putting both calendars in one place
Here's how the two clocks split. Form on October 20 and your Wyoming report is due October 1 each year. Your IRS date stays April 15, about six months away from it. Neither date reminds you of the other, so I'd add two repeating reminders today, each 60 days early. A Wyoming LLC non resident setup usually goes wrong when one calendar gets tracked and the other gets forgotten.
If you'd rather not track either one yourself, CORPBOLT is worth pricing first. CORPBOLT forms Wyoming LLCs for non-US founders from $349, or $599 with the EIN included, and the $100 state filing fee is part of every plan. Every CORPBOLT plan includes the registered agent and the yearly Wyoming annual report, state fee paid. Form 5472 and pro forma 1120 filing is available too, included on Concierge. Standard IRS processing for the EIN takes 6-8 weeks on average; Rush EIN gets it done within 5 business days, as an add-on or included on Concierge.
