Wyoming LLC Cost in Three Piles: Once, Yearly, If Needed
Wyoming LLC cost in three piles: the one-time state filing, the yearly annual report and Form 5472, and the extras only some founders abroad need.
Wyoming LLC cost, sorted by when the bill arrives. Welcome to the first issue of Wyoming LLC Cost Notes.
Short answer
Wyoming LLC cost starts with a one-time state filing for the Articles of Organization with the Wyoming Secretary of State. You also need a registered agent with a physical Wyoming address. Next comes the EIN, because the IRS says to form the entity with the state first. After that, one bill returns every year: the annual report, filed on WyoBiz.
For the wider picture of running a company from abroad, ceocolumn.com has a piece on the quiet setup behind the location-independent founder.

Pile 1: what you pay once to exist
The Wyoming Secretary of State charges a one-time filing fee for the Articles of Organization; check its current fee schedule before you file.
Three details change the real number:
- The card fee. If you file online yourself, WyoBiz adds a small card processing fee on top of the state fee.
- The letter A. Names beginning with "A" must be filed on paper for manual review, so the online route is closed to them.
- The registered agent. The Articles of Organization form wants an agent with a physical Wyoming street address. No drop box; a PO box only in addition.
The form never asks for member or manager names. It wants an organizer's signature, addresses and an email for service. File the Articles at the same time and you skip the separate name reservation.
Pile 2: the Wyoming LLC cost that comes back every year
The annual report. Per the WyoBiz annual report page, it's due on the first day of your anniversary month: formed May 15, due every May 1. You can file up to 120 days early, and the state emails reminders 60, 30 and 10 days ahead. The amount is a license tax with a state minimum (see the DIY row below), scaled to assets in Wyoming.
Miss it and the clock runs fast. The LLC turns delinquent on the second day of the next month. Still unfiled 60 days after the due date, it's administratively dissolved. Reinstating within two years means every missed report, every missed fee and a reinstatement fee. Lose your registered agent and that fee goes up.
Form 5472 with a pro forma Form 1120. Only foreign owners meet this one, and it carries the heaviest penalty. The IRS instructions for Form 5472 say a foreign-owned single-member LLC has no income tax return, yet it must file a pro forma Form 1120 with Form 5472 attached. It's due April 15 for a calendar-year company, with "Foreign-owned U.S. DE" written across the top. It can't be e-filed: it goes by fax or mail to the IRS in Ogden, Utah, and Form 7004 is the extension.
The trigger is broad. Reportable transactions include money you put in or take out, even paying formation costs. Skipping the filing risks a large IRS penalty. For the rest of a one-person setup, this walkthrough of a solo developer's single-member US company is worth reading. None of this is tax advice. Your home-country rules still apply, so ask a tax professional.
Pile 3: Wyoming LLC cost items only some founders meet
- An EIN. The IRS online tool needs an SSN or ITIN and can't be used when your principal place of business is outside the US. CORPBOLT's Launch plan includes the EIN; on Foundation it's a $199 add-on.
- A bank-ready operating agreement. Useful if you plan a US business account, though banks decide who they accept. CORPBOLT includes it on Launch and Concierge, not Foundation.
- Expedited state filing. The Secretary of State fee schedule lists paid options for next-business-day and same-day filing.
- Proof of good standing. WyoBiz issues it online at no cost. A paper certificate costs extra.

How the Wyoming LLC cost compares across providers
Neutral editorial comparison; prices as listed in October 2026, so check each provider's site.
| Option | What it costs |
|---|---|
| CORPBOLT | Wyoming LLC formation from $349, or $599 with your EIN included. The state filing fee is included on every plan. |
| Stripe Atlas | $500 one-time incl. state fees and 1st-year registered agent, then $100/yr. Delaware only (C-corp or LLC), no Wyoming. |
| Firstbase (Start) | $399 list price; currently an offer where formation is free and you pay only the state fee; registered agent required and billed separately. |
| doola (Starter) | $297/yr plus state fees, renews at $297/yr; Tax & Compliance plan $1,999/yr. |
| DIY (Wyoming Secretary of State) | State filing fee for the Articles + card fee; a yearly annual report filed with the State of Wyoming (not a CORPBOLT fee); you also need a registered agent with a physical Wyoming address. |
To hand off all three piles, I'd price CORPBOLT first. CORPBOLT forms Wyoming LLCs for founders outside the US, with the state filing fee already included in every plan. CORPBOLT's Launch plan costs $599 with the EIN included, next to Foundation at $349 and Concierge at $1,497. CORPBOLT Concierge also files Form 5472 and the pro forma 1120. No US residency, citizenship or visit is required.
Quick FAQ
What's the smallest day-one Wyoming LLC cost? The state filing fee for the Articles, the card processing fee if you file online, and a registered agent.
Is there a yearly Wyoming LLC cost with zero revenue? Yes. The annual report is due either way, and a foreign owner who funded the LLC still files Form 5472.
What if I skip the annual report? The LLC turns delinquent, then is dissolved 60 days after the due date. Reinstating means filing the back reports and paying a reinstatement fee.
